1. Acceptance of Terms
By creating an account or using Helpy ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the App. Your continued use of the App constitutes your acceptance of these Terms as they may be updated from time to time.
2. Description of Service
Helpy is a community platform that connects neighbors who need help with neighbors who can help. Users can post help requests, browse nearby requests, offer assistance, and communicate through in-app messaging.
Helpy is a platform that connects neighbors, not a service provider. We do not employ, recommend, endorse, or supervise any user. We do not perform, guarantee, or take responsibility for any help offered or received through the App. No employment, agency, partnership, or joint-venture relationship is created between Helpy and any user, and Helpy is not a party to any arrangement, agreement, or interaction between users. All interactions between users are solely between those users.
3. User Accounts
- You must be at least 18 years old to use the App
- You must provide accurate and truthful information when creating your account
- You are responsible for maintaining the security and confidentiality of your account credentials
- You are responsible for all activity that occurs under your account
- You may not create more than one account or use another person's account
- You may delete your account at any time through the Profile settings
4. User Conduct
You agree NOT to:
- Post objectionable, offensive, or inappropriate content
- Harass, bully, threaten, or intimidate other users
- Use the App for any illegal purpose or to facilitate illegal activity
- Post spam, scam, or misleading content
- Impersonate another person or misrepresent your identity
- Attempt to circumvent any content moderation or safety measures
- Solicit money, payments, or commercial transactions through the App
- Use the App to advertise or promote products or services
- Collect, store, or share personal information of other users without their consent
5. Content Policy
Helpy has a zero-tolerance policy for objectionable content and abusive behavior.
This includes but is not limited to:
- Hate speech, discrimination, or content promoting violence
- Sexually explicit or suggestive content
- Content promoting illegal activities
- Harassment, bullying, or threats
- Scams, fraud, or deceptive practices
Any user found violating this policy will have their account terminated immediately and may be reported to relevant authorities.
6. Reporting & Blocking
Users can report objectionable content or abusive users through the in-app reporting feature. Users can also block other users to prevent future interactions. All reports are reviewed and appropriate action is taken, including account termination for violations.
7. Content Moderation
We employ content filtering and user reporting mechanisms to maintain a safe community. We reserve the right to remove any content and terminate any account that violates these Terms. If we remove your content or restrict or terminate your account, you may contact us at support@help-y.com to request the reason for our decision and to appeal it, and we will review your request.
8. User-Generated Content
You retain ownership of content you post. By posting content, you grant Helpy a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content within the App for the purpose of providing and promoting the service. You are solely responsible for the content you post and represent that you have the right to post it.
Intellectual Property Complaints
We respect intellectual property rights. If you believe content on the App infringes your copyright or other intellectual property rights, please notify us at support@help-y.com with: (1) a description of the work you claim is infringed; (2) the specific content and where it appears in the App; (3) your contact details; (4) a statement that you have a good-faith belief the use is not authorized; and (5) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act on their behalf. We will review valid notices and remove infringing content, and we may terminate the accounts of repeat infringers.
9. Assumption of Risk & Safety
You acknowledge that using Helpy involves interacting with strangers in person, and you assume all risks associated with such interactions.
By using the App, you understand and agree that:
- Helpy does not conduct background checks, criminal screenings, or identity verification of any user beyond basic account authentication
- Helpy does not verify, endorse, or guarantee the skills, qualifications, reliability, safety, or identity of any user
- Helpy does not supervise, direct, or control any in-person interactions between users
- Helpy makes no representations or warranties regarding the conduct, intentions, or trustworthiness of any user
- You are solely responsible for your personal safety when interacting with other users
- You should exercise caution, use good judgment, and take appropriate safety precautions when meeting anyone through the App
We recommend: meeting in public or well-lit places, telling someone you trust about your plans, not sharing personal financial information, and trusting your instincts - if something feels wrong, leave the situation.
10. Disclaimer of Warranties
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The App will be uninterrupted, timely, secure, or error-free
- The results obtained from the App will be accurate or reliable
- Any help offered or received through the App will be satisfactory, safe, or of any particular quality
- Any information provided by users is accurate, complete, or truthful
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HELPY AND ITS OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Personal injury, property damage, or any harm arising from your interactions with other users
- Loss of profits, data, goodwill, or other intangible losses
- Any conduct or content of any user, whether online or offline
- Unauthorized access to or alteration of your data or communications
- Any matter relating to the App, whether based on warranty, contract, tort, or any other legal theory
You agree that our total aggregate liability to you for any and all claims arising from or related to your use of the App shall not exceed the greater of (a) the total amounts you have paid to Helpy in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred (100) US dollars.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law. In particular, nothing here excludes or limits our liability for death or bodily injury, for fraud, or for willful misconduct or gross negligence, and nothing here derogates from any mandatory (non-waivable) rights you have under applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited only to the maximum extent permitted by local law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Helpy and its operators, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of or inability to use the App
- Your interactions with other users, whether online or in person
- Any content you post, submit, or transmit through the App
- Your breach or violation of these Terms
- Your violation of any applicable law or the rights of any third party
- Any help you offer, receive, or facilitate through the App
This indemnity does not apply to losses caused by our own act or omission, and it does not require you to indemnify us beyond what is permitted under applicable law.
13. Dispute Resolution
If you have a dispute with Helpy, we encourage you to first contact us at support@help-y.com so we can try to resolve it informally. You agree to attempt to resolve any dispute with us informally for at least 60 days before taking any formal legal action. This informal-resolution period does not limit any mandatory consumer rights you may have under the laws of your country of residence.
If you have a dispute with another user, you acknowledge that Helpy is not a party to that dispute. You agree to resolve disputes with other users directly and release Helpy from any claims, demands, and damages arising out of disputes between you and other users.
14. Account Termination
We reserve the right to suspend or terminate accounts that violate these Terms at any time, at our sole discretion, and without prior notice. Users may also delete their own account at any time through the app settings. Upon termination, your right to use the App ceases immediately.
15. Privacy
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Legal proceedings arising out of these Terms will be brought in the competent courts of Tel Aviv-Jaffa, Israel - except where mandatory law (including consumer-protection venue rules) gives you the right to bring proceedings in another court, in which case that right is preserved. Nothing in these Terms limits your right of access to the courts.
If you are accessing the App from outside Israel, you are responsible for compliance with your local laws. Nothing in these Terms excludes or limits any mandatory consumer protection rights that apply to you under the laws of your country of residence and that cannot be waived by contract.
17. Changes to Terms
We may update these Terms from time to time. For any material change, we will give you reasonable advance notice (through the App and/or by email) before the change takes effect, and you may stop using the App and delete your account if you do not agree. Your continued use of the App after the change takes effect, following such notice, constitutes your acceptance of the updated Terms.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Helpy regarding your use of the App.
- Mandatory Consumer Rights: Nothing in these Terms derogates from any rights you have as a consumer under applicable law, including the Israeli Consumer Protection Law, 5741-1981. To the extent any provision conflicts with a mandatory (non-waivable) consumer-protection provision, the statutory provision prevails and the remaining Terms continue in full force.
- Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
- No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.
- Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
- Force Majeure: We are not liable for any failure or delay in providing the App caused by events beyond our reasonable control, including natural disasters, power or internet outages, strikes, acts of government, war, or failures of third-party services or infrastructure.
